8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BIOHACKINGWIZ , its affiliates, subsidiaries, officers, directors, employees, agents, licensors, suppliers, and any third-party service providers (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, costs, or expenses (including, but not limited to, reasonable attorneys’ fees and court costs) arising out of or related to: (i) your access to or use of the BIOHACKINGWIZ website, services, or products; (ii) any violation of these Terms of Service by you or anyone using your account; (iii) your breach of any representation, warranty, or covenant contained in these Terms; (iv) your violation of any third-party rights, including without limitation any intellectual property, privacy, or proprietary rights; (v) any claims of medical malpractice, negligence, or product liability resulting from your reliance on information, content, or recommendations made available on BIOHACKINGWIZ , including but not limited to affiliate products, supplements, tools, or biohacking strategies; or (vi) any unauthorized or illegal use of the site or the services offered through it.

BIOHACKINGWIZ  reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with BIOHACKINGWIZ  in asserting any available defenses. This indemnity obligation will survive the termination of these Terms of Service and your use of the BIOHACKINGWIZ  website or services.

9. COMISSION

Any commissions, fees, or any other compensation obtained by BIOHACKINGWIZ shall be the sole and exclusive property of BiohackingWiz. Users shall not receive any commissions or compensation for their use of the website.

10. GOVERNING LAW

TheFederal Arbitration Act, applicable federal law, and the laws of the State of California, without regard to conflict of law principles, will govern these Terms and dispute of any sort that might arise between you and Biohackingwiz.

Subject to Section 11, which requires disputes to be resolved through binding arbitration or small claims court, to the extent that any lawsuit or court proceeding is allowed under these Terms, you and BIOHACKINGWIZ  agree to submit to the exclusive personal jurisdiction of the state and federal courts located within Miami-Dade County, Florida, for the purpose of litigating all such disputes.

11. DISPUTE RESOLUTION BY BINDING ARBITRATION; CLASS ACTION WAVER

PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.

a) Informal Dispute Resolution Process

If a dispute arises between you and Biohackingwiz with respect to your use of the Websites and/or any online products or services owned, controlled or offered by Insider Inc. that post a link to and are governed by these Terms of Service (collectively, the “Services”), you and Biohackingwiz agree to make a good faith effort to resolve the dispute informally prior to initiating a formal arbitration proceeding

MOST DISPUTES AND CUSTOMER CONCERNS CAN BE RESOLVED QUICKLY AND TO YOUR SATISFACTION BY CONTACTING US AT SUPPORT@BIOHACKINGWIZ.COM. HOWEVER, IN THE UNLIKELY EVENT THAT BIOHACKINGWIZ CANNOT RESOLVE A DISPUTE WITH YOU, THEN, EXCEPT FOR SMALL CLAIMS COURT CASES AND CLAIMS RELATED TO INTELLECTUAL PROPERTY AS SET FORTH IN THE ARBITRATION AGREEMENT SECTION BELOW, BOTH YOU AND BIOHACKINGWIZAGREE TO SUBMIT THE DISPUTE TO THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS CONSUMER AND/OR COMMERCIAL ARBITRATION RULES, OR BY SEPARATE MUTUAL AGREEMENT TO ANOTHER ARBITRATION INSTITUTION, IN ACCORDANCE WITH THE TERMS OUTLINED IN THE ARBITRATION AGREEMENT.

BY ENTERING INTO THIS AGREEMENT, YOU UNDERSTAND THAT BOTH YOU AND BIOHACKINGWIZARE WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

b) Arbitration Agreeement

IF WE ARE UNABLE TO RESOLVE ANY DISPUTE THROUGH THE INFORMAL DISPUTE RESOLUTION PROCESS, YOU AND BIOHACKINGWIZ AGREE THAT ALL CLAIMS, DISAGREEMENTS, DISPUTES, OR CONTROVERSIES BETWEEN YOU AND BIOHACKINGWIZ OR ITS AFFILIATES, INCLUDING OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AGENTS, PARENTS, AFFILIATES, SUBSIDIARIES, AND RELATED COMPANIES, WHETHER BASED IN CONTRACT, TORT, STATUTE, FRAUD, MISREPRESENTATION, OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR RELATING TO THE BIOHACKINGWIZ WEBSITE, THE USE OR ACCESS THEREOF, THE PRODUCTS, SERVICES, MATERIALS, PROMOTIONS, PROGRAMS, OR OTHER FEATURES OFFERED ON OR THROUGH THE SITE, AND/OR THE APPLICATION, ENFORCEABILITY, SCOPE, OR INTERPRETATION OF THIS AGREEMENT TO ARBITRATE (“DISPUTES”), SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION.

The sole exceptions to this requirement are that you may bring claims in small claims court if they qualify, provided that the dispute remains on an individual basis and does not seek class action relief. Claims related to BIOHACKINGWIZ’s intellectual property, including copyright, trademark, or patent claims, may be brought directly in court without arbitration.

c) Class Action Waiver

YOU AGREE THAT, BY AGREEING TO THE TERMS, YOU AND BIOHACKINGWIZ ARE EACH GIVING UP YOUR RIGHTS TO SUE IN COURT, INCLUDING RIGHTS TO RECEIVE A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY-GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING TO THE MAXIMUM EXTENT PERMITTED BY LAW. THE TERMS EVIDENCE A TRANSACTION IN INTERSTATE COMMERCE, AND THUS THE FAA GOVERNS THE INTERPRETATION AND ENFORCEMENT OF THIS ARBITRATION PROVISION. THIS ARBITRATION PROVISION SHALL SURVIVE TERMINATION OF THE TERMS OR YOUR RELATIONSHIP WITH NERDWALLET FOR ANY REASON.

d) Arbitration process

Any Arbitration will be conducted by a neutral arbitrator through the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall take place virtually or in a mutually agreed-upon location. The arbitrator shall have the exclusive authority to resolve any dispute and can award on an individual basis the same damages and relief as a court and must follow the terms of these Terms. The arbitrator’s decision will be final, binding, and enforceable in any court of competent jurisdiction.

e) Costs and Fees

Each party shall bear its own costs and legal fees associated with arbitration unless they are authorized by law or the arbitrator determines that a claim was frivolous or brought for an improper purpose or in bad faith.

f) Confidentiality

All arbitration proceedings, including their contents and any related materials, are strictly confidential. Neither you nor BIOHACKINGWIZ  may disclose the arbitration’s existence, substance, or outcome unless required by law or with the other party’s written consent.

g) Right to Opt-Out of the Arbitration Agreement

IF YOU DO NOT WISH TO BE BOUND BY THE “ARBITRATION AGREEMENT” you have the right to opt out by sending written notice of your decision to opt out by email to support@biohackingwiz.com within 30 days of (a) the Effective Date of these Terms or (b) the first date that you used the Website that contained any versions of the Terms that included the Mandatory Arbitration and Class Action waiver, whichever is later. Please provide your name, contact information, and a clear statement of your intention to opt out of arbitration. Opting out of the arbitration and class action waiver provisions will not affect any prior, existing, or future arbitration agreements you may have with us.

h) Modifications

Modifications to the Arbitration Agreement or Class Action Waiver: If we modify this Arbitration Agreement or class action waiver provision after the date you initially agreed to the Terms or any subsequent amendments, you may reject the modification by sending us written notice at support@biohackingwiz.com within thirty (30) days of the change becoming effective 

i) Severability

If any portion of this Arbitration Agreement is found unenforceable or unlawful for any reason, the remainder will remain in full effect. If the class action waiver is deemed unenforceable, this Arbitration Agreement shall be void in its entirety.

j) Finality of Decision

The arbitrator’s decision will be final and binding on all parties. Judgment on the award may be entered and enforced in any court of competent jurisdiction.
